meati™ March 10 SMS Sweepstakes Official Rules

NO PURCHASE IS NECESSARY TO ENTER OR WIN.  A PURCHASE WILL NOT IMPROVE YOUR ODDS OF WINNING.

Eligibility:  The sweepstakes is open to legal residents of the United States who are eighteen (18) years of age or older (or the age of majority in their state of residence, whichever is greater).  Employees of Sponsor and their immediate family members are prohibited from entering.  Individuals who have won any prize given away by Sponsor in any giveaway, sweepstakes, promotion or contest within the last twelve (12) months are not eligible to win. Entrants are subject to all applicable federal, state, provincial and local laws and regulations.  Void where prohibited by law.

Sponsor:  The sweepstakes is sponsored by Emergy Inc. DBA Meati Foods, 6880 Winchester Circle, Unit D Boulder Colorado 80301 (“Sponsor”).      

Agreement to Official Rules:  The Sweepstakes begins on March 10, 2023 7:00 AM CT and ends on March 12, 2023 11:59 PM CT (“Sweepstakes Period”).  Entries received before or after the Sweepstakes Period are void.  Sponsor’s computer is the official time-keeping device for the Sweepstakes.

Sweepstakes Period:  The Sweepstakes begins on February 27, 2023 10:00 AM MT and ends on March 12, 2023 11:59 PM MT (“Sweepstakes Period”).  Entries received before or after the Sweepstakes Period are void.  Sponsor’s computer is the official time-keeping device for the Sweepstakes.

How to Enter: 

During the Sweepstakes Period, visit meati.com/sms/sxsw and sign up to enter the Sweepstakes and to receive promotional text messages (SMS) from Meati (an “Entry”).  All Entries must be complete before the end of the Sweepstakes Period to be eligible for the prize.  Limit one (1) entry per person. Any individual found to use multiple accounts phone numbers to obtain multiple Entries will be ineligible. Virtual phone numbers are ineligible and any Entry by a virtual phone number will either be rejected or disqualified. Normal Internet access and device usage charges imposed by your on-line service and standard carrier messaging rates may apply. Sponsor reserves the right to disqualify any non-conforming Entries.

This needs to update to the website landing page where a consumer will enter their phone number to receive a text from Meati to enter the contest.

You may wish to confirm with the provider if virtual phone numbers (e.g. Google Voice) are ineligible. If so, insert the following text at the end of this sentence:

“Virtual phone numbers are ineligible and any Entry by a virtual phone number will either be rejected or disqualified.”

Incomplete, illegible or inaccurate Entries are invalid and not eligible to win. Use of computer programs and/or other automated devices to enter the Sweepstakes is prohibited.  We are not responsible for failed or misdelivery of communications relating to the Sweepstakes.

Sponsor assumes no responsibility for computer system, hardware, software or program malfunctions or other errors, failures, delayed computer transactions or network connections that are human or technical in nature, or for damaged, lost, late, illegible or misdirected entries; technical, hardware, software, electronic or telephone failures of any kind; lost or unavailable network connections; fraudulent, incomplete, garbled or delayed computer transmissions whether caused by Sponsor, the users, or by any of the equipment or programming associated with or utilized in this Sweepstakes; or by any technical or human error that may occur in the processing of submissions or downloading, that may limit, delay or prevent an entrant’s ability to participate in the Sweepstakes.  

Sponsor reserves the right, in its sole discretion, to cancel or suspend this Sweepstakes and award the Prizes from Entries received up to the time of termination or suspension should causes beyond Sponsor’s control, including unauthorized human intervention, which, in the sole opinion of Sponsor, corrupt, compromise or materially affect the administration, fairness, security or proper play of the Sweepstakes or proper submission of entries.  Sponsor is not liable for any loss, injury or damage caused, whether directly or indirectly, in whole or in part, from downloading data or otherwise participating in this Sweepstakes.

CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

Selection of the Winner:  On or about March 13, 2023, ten (10) winners (each, a “Winner”) will be selected at random from all eligible Entries received. The odds of winning are not calculable in advance and depend on the number of eligible Entries received.

Notification of the Winner:  Winners will be notified via SMS.  If Winner does not acknowledge acceptance of their prize within one (1) business days after being notified that he,  she or they is a Winner, another Winner may be chosen using the same procedure specified above.   

Requirements of the Winner:  Sponsor may require any Winner to sign and return an affidavit of eligibility and liability and publicity release, wherever lawful, as a precondition to award of any Prize.  If any Winner fails to sign and return the requested documents to Sponsor, that Winner may be disqualified, and the Prize will thereafter be awarded to an alternate Winner from the remaining valid entries using the procedure specified above. 

Prizes:

Each Winner will receive approximately $50 worth of free Meati products. Product will be shipped to each winner’s designated address. The total estimated retail value of all Prize is between $100.  

All expenses not specified above including, but not limited to beverages, gratuities, incidentals, taxes and transportation to the tour are the sole responsibility of the Winner. Sponsor is not liable for any expenses incurred as a consequence of travel delays or any weather issues that prevent the Winner from traveling or accepting the Prize, in which event any missed portion of the Prize is forfeited in its entirety and no substitution will be provided. 

The Prize is subject to standard terms and conditions, and includes all food items provided at the event. The Prize does not include beverages, gratuities, or taxes. Due to the nature of this event, dietary restrictions or allergies cannot be accommodated. Must be 21 years of age or older to consume alcoholic beverages. Please drink responsibly. For attendance at this event, we recommend that you review and follow CDC COVID-19 Guidance, as well as any state or local requirements. These requirements can be found on CDC website and state and local government websites. By attending this event, you acknowledge that a risk of exposure to COVID-19 exist, you voluntarily assume any and all risks related to such exposure, and you will not hold Sponsor or American Express, its affiliates, suppliers, partners, representatives or agent, liable for any illness, injury, or risk in connection with your audience at the event or inability to attend the event due to COVID-19 exposure or illness.

Prizes are non-transferable and non-refundable, and no substitutions will be made except as provided herein, in the Sponsor’s sole discretion. Prizes are not redeemable for cash. Sponsor reserves the right to substitute a particular Prize for one of comparable or greater value. No individual may win more than one prize.  Sponsor will not replace any lost, mutilated, or stolen gift cards.  Standard terms and conditions apply.  PRIZES ARE AWARDED AS IS AND WITHOUT CONDITION, WARRANTY, GUARANTEE OR REPRESENTATION OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE) BEYOND THE CUSTOMARY REPRESENTATIONS PROVIDED WHEN THE PRIZE IS SOLD AT RETAIL.

Winners are responsible for any and all applicable local, state, and/or federal taxes and fees. 

Privacy:  By submitting an Entry, participants acknowledge and agree that any personal information that they provide will be maintained in accordance with Sponsor’s Privacy Policy.

RELEASE AND PUBLICITY:  ENTRANTS AGREE TO RELEASE AND HOLD HARMLESS SPONSOR AND ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AFFILIATED COMPANIES, SUBSIDIARIES, SUPPLIERS, DISTRIBUTORS, ADVERTISING AND PROMOTIONAL AGENCIES, AGENTS, SUCCESSORS AND ASSIGNS FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF PARTICIPATION IN THE SWEEPSTAKES.  SPONSOR IS NOT RESPONSIBLE FOR ANY TYPOGRAPHICAL OR OTHER ERROR IN THE PRINTING OF THE OFFER OR ADMINISTRATION OF THE SWEEPSTAKES OR IN THE ANNOUNCEMENT OF THE PRIZE.  By receipt of the Prize and by signing an affidavit of eligibility and liability/publicity release, if requested, each Winner consents to the use of his or her name, and address by Sponsor for advertising and promotional purposes, without any additional compensation, except where prohibited.  No entries will be returned.  All entries become the property of Sponsor. 

DISPUTES:  EACH ENTRANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THIS SWEEPSTAKES, OR ANY PRIZES AWARDED, SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORTING TO ANY FORM OF CLASS ACTION, PURSUANT TO ARBITRATION CONDUCTED UNDER THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION, TO TAKE PLACE BOULDER, COLORADO; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THIS SWEEPSTAKES, BUT IN NO EVENT ATTORNEYS’ FEES; AND (3) UNDER NO CIRCUMSTANCES WILL ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES, AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.  ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES, OR THE RIGHTS AND OBLIGATIONS OF ENTRANT AND SPONSOR IN CONNECTION WITH THE SWEEPSTAKES, SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF COLORADO, WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW, RULES OR PROVISIONS (WHETHER OF THE STATE OF COLORADO OR ANY OTHER JURISDICTION) THAT WOULD CAUSE THE APPLICATION OF THE LAWS OF ANY JURISDICTION OTHER THAN THE STATE OF COLORADO.
